[DRAFT – NEEDS LEGAL REVIEW] This wording is a starting point and has not been reviewed by a solicitor. Fill in every [BRACKETED] placeholder and have it checked before relying on it, then edit it in Platform Admin → Marketing Pages.
These terms apply when a business subscribes to Webb Motors, the dealer management system and dealer website builder provided by [COMPANY LEGAL NAME] (company number [COMPANY NUMBER], registered office [REGISTERED OFFICE ADDRESS]) ("we", "us"). By starting a free trial or subscription you agree to them on behalf of your business ("you").
Webb Motors is sold to businesses only. It is not intended for consumers.
1. Your account
- You must give us accurate business details and keep them up to date.
- You are responsible for everyone you invite to your account and for the permissions you give them.
- Keep login details secure and tell us straight away at [CONTACT EMAIL] if you think your account has been accessed without permission.
2. Free trial and subscription
New accounts get a 14-day free trial. Card details are taken through Stripe when you sign up. Unless you cancel before the trial ends, your subscription starts automatically at £29 per month [plus VAT if applicable], charged monthly in advance.
We may change the price with at least 30 days' notice by email. The new price applies from your next billing date after the notice period.
3. Cancelling
You can cancel at any time from the billing section of your admin. Your subscription stays active until the end of the period you have already paid for, then stops. We do not refund part-months.
4. Failed payments
If a payment fails, your admin area is locked until the outstanding amount is paid. Your public website and data are not deleted while the account is locked.
5. Your content and your customers' data
Everything you add — vehicle listings, photos, pages, customer records, invoices and documents — stays yours. You give us permission to store, process and display it only so we can run the service for you.
You are responsible for your content and how you use it, including:
- making sure vehicle listings, prices and descriptions are accurate and comply with consumer protection law;
- having a lawful basis under UK data protection law for the customer information you record;
- publishing your own terms, privacy policy and cookie policy on your dealer website. We create placeholder pages for these when you join, but they are not legal documents until you replace them.
6. Data protection
For your customers' personal data, you are the controller and we are your processor. When we process that data for you, we will:
- only process it on your instructions, which are given by your use of the service and these terms;
- make sure anyone with access to it is bound by confidentiality;
- keep it secure with appropriate technical and organisational measures;
- only use the sub-processors listed in our Privacy Policy, and tell you before adding a new one;
- help you respond to requests from people exercising their data protection rights, and with security incidents and data protection impact assessments;
- tell you without undue delay if we become aware of a personal data breach affecting your data;
- delete or return your data when your subscription ends, as described in section 11;
- give you the information you reasonably need to show these obligations are being met.
For your own account data (you and your staff), we are the controller. Our Privacy Policy explains how we use it.
7. Tax, invoices and figures
Webb Motors can calculate figures such as VAT, margin scheme amounts and profit reports, and can produce invoices from the details you enter. These are tools, not tax or accounting advice. You are responsible for how each sale is treated for tax and for the accuracy of documents you issue.
8. Vehicle data and AI-written descriptions
MOT history comes from the DVSA and is shown as provided. Optional AI-written vehicle descriptions are generated from the vehicle details you enter. Check both before publishing — you are responsible for what appears on your listings.
9. Online deposits
If you take reservation deposits online, payments are processed by Stripe under Stripe's Connected Account Agreement, and the money is paid to your own Stripe account. You are responsible for your deposit terms and any refunds you owe your customers.
10. Acceptable use
You must not use Webb Motors to publish unlawful, misleading or infringing content, to send spam, or to try to access another business's account or data. You must not try to disrupt, overload, copy or reverse-engineer the service.
11. Suspension and ending your account
We may suspend or close an account that breaks these terms or doesn't pay, and will give you notice where we reasonably can. When an account closes, you can ask us for a copy of your data within [EXPORT PERIOD, e.g. 30 days]. After that we delete it, apart from copies we must keep by law and backups that expire on their normal schedule.
12. Availability and changes to the service
We work to keep Webb Motors available and secure but can't promise it will be uninterrupted or error-free. We may change or improve features over time. If a change materially reduces what you are paying for, we will tell you first.
13. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot legally be limited.
Otherwise, we are not liable for loss of profit, revenue, business or goodwill, or for indirect or consequential loss. Our total liability in any 12-month period is limited to the subscription fees you paid us in that period.
14. Changes to these terms
We may update these terms. If a change is significant, we will email account owners at least 30 days before it takes effect. The date at the top of this page shows when they last changed.
15. Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
16. Contact
